TMOG, LLC Standard Terms and Conditions CY2016

The following Customer terms and conditions represent a complete statement of the agreement between the parties and supersede all prior discussions, correspondence and representations. Customer Education brochures and advertisements are for information purposes only and are not intended to form any agreement between TMOG, LLC and the recipient. These terms and conditions are subject to change without notice, and changes will apply to any enrollment/course order received after the date of the change. These terms and conditions may not be varied except in a written agreement signed by an officer of TMOG, LLC. TMOG, LLC acceptance of a purchase order containing different terms and conditions does not modify or supersede these terms and conditions. This agreement will be governed by Virginia law, without regard to any conflicts of law.

Payment Terms

Course fees are due and payable within thirty days at the conclusion of the training program. TMOG, LLC may provide an invoice up to two weeks after completion of the course. Receipt of invoice does not constitute a delay in payment by you to TMOG, LLC.

Cancellation Policy

TMOG, LLC does not impose any penalty for cancellations or rescheduling of private classes if the change happens at least six (6) weeks ahead of the original class date.

Any private class cancelled or rescheduled by the customer between four (4) to six (6) weeks is subject to a 25% of proposal’s price. Any private class cancelled or rescheduled by the customer between two (2) to four (4) weeks is subject to a 50% of proposal’s price. Any private class cancelled or rescheduled by the customer less than two (2) weeks is subject to a 75% of proposal’s price.

If the event is rescheduled at the time of cancellation to be delivered within 90 days of the cancellation date, TMOG, LLC will waive 25% of the cancellation fee.

Course Postponements or Cancellations:

TMOG, LLC reserves the right to postpone or cancel training events at TMOG, LLC’s discretion. If training is postponed or cancelled by TMOG, LLC, then TMOG, LLC will reschedule the training based on the next available date (or if private event training, as may be mutually agreed upon by the parties).

TMOG, LLC will not be liable for any other costs incurred by the client including travel charges or any consequential damages even if TMOG, LLC were advised of them.

TMOG, LLC shall not be held responsible for any cancellation, postponement, or unexpected delay due to factors or circumstances beyond its control.

TMOG, LLC will not be liable or responsible for any failure to perform prior to or during the training event, or delay in performance of, any of our obligations that is caused by events outside our reasonable control (Force Majeure Event).

A Force Majeure Event includes any act, event, non-happening, omission, illness or accident beyond our reasonable control.

Our performance is deemed to be suspended for the period that the Force Majeure Event continues, and we will have an extension of time for performance for the duration of that period.

We will use our reasonable endeavors to bring the Force Majeure Event to a close or to find a solution by which our obligations may be performed despite the Force Majeure Event.

Copyright/Intellectual Property

TMOG, LLC reserves all right, title, and interest – including all copyright, patent, trade secret, trademark, and other intellectual property rights – in any and all aspects of its educational assets, including course software, training materials (electronic and printed), and online training media (commonly known as eLearning). These materials are supplied for private educational use only. Any other use without the express written consent of TMOG, LLC is prohibited. No part of these materials may be reproduced, stored in a retrieval system, or transmitted, in any form or by any means – electronic, mechanical, photocopying, recording, or otherwise –without prior written permission of TMOG, LLC.

Confidentiality

Information contained in this material is confidential and proprietary to TMOG, LLC and its affiliates and may not be modified, copied, published, disclosed, distributed, displayed or exhibited, in either electronic or printed formats without written authorization of an officer of TMOG, LLC.

Content Warranty

The information in this document is subject to change without notice. THE TRAINING MATERIAL IS PROVIDED “AS IS” AND TMOG, LLC MAKES NO WARRANTY, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO ALL WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE OR NONINFRINGEMENT. TMOG, LLC shall not be liable for errors contained herein or for incidental or consequential damages in connection with the furnishing, performance or use of training material.
